Contributor License Agreement (Template)

This is a template, not legal advice. It has not been reviewed by an attorney and is not yet in force. Have it reviewed by qualified legal counsel before relying on it or asking contributors to sign it. Until then it documents intent only.

Why this exists

codeArbiter is dual-licensed. It is offered to the public under the GNU AGPLv3 (see LICENSE), and the copyright holder also offers it under separate proprietary terms (see the "Dual-Licensing & Contributions" section of the README). For that model to hold, the copyright holder must be able to license every line of the project under both sets of terms. This agreement lets contributors keep ownership of their work while granting the copyright holder the rights needed to relicense it.

Agreement

By submitting a contribution (a pull request, a patch, or any other work) to this project, You agree to the following with the project's copyright holder ("the Owner", currently SUaDtL).

1. Definitions

  • "You" means the individual or legal entity making the contribution.
  • "Contribution" means any original work of authorship You intentionally submit to the project, in any form.

2. Copyright license

You retain ownership of Your Contribution. You grant the Owner a perpetual, worldwide, non-exclusive, royalty-free, irrevocable copyright license to reproduce, prepare derivative works of, publicly display, sublicense, and distribute Your Contribution and such derivative works, under both the AGPLv3 and under separate proprietary or commercial terms of the Owner's choosing.

3. Patent license

You grant the Owner a perpetual, worldwide, non-exclusive, royalty-free, irrevocable patent license to make, use, sell, offer to sell, import, and otherwise transfer Your Contribution. This license covers the patent claims You are able to license that are necessarily infringed by Your Contribution alone or by the combination of Your Contribution with the project.

4. Your representations

You represent that:

  • Each Contribution is Your original creation, or You have the right to submit it under this agreement.
  • If Your employer has rights to intellectual property You create, You have received permission to make the Contribution on behalf of that employer, or the employer has waived those rights for the Contribution.
  • To Your knowledge, Your Contribution does not violate any third party's rights.

5. No obligation

The Owner is not obligated to use or include Your Contribution. This agreement creates no employment, partnership, or agency relationship.

6. No warranty

Except for the representations in Section 4, Your Contribution is provided "as is", without warranty of any kind.
